   Contracts I & II          Licensing          Sales


CONTRACTS I and CONTRACTS II (3 units each)
Study of the development of common law concepts of enforceable promises and statutory impact.  Encompasses the basic principles controlling the formation, performance, and termination of contracts.  Includes the doctrines of offer and acceptance, consideration, conditions, breach, damages, third-party beneficiary, assignments and the Statute of Frauds.
  
LICENSING (3 units)
The course is designed to provide students with an understanding of the basic issues involving in licensing intellectual property.  The course explores several basis for licensing intellectual property, examines the tension between intellectual property law and contract law, and explores the practical aspects of drafting licensing agreements.  The class will review, revise and draft documents as part of the course curriculum. The course grade will be based on the written in-class assignments, and a final examination.
  
SALES (3 units)
This course examines sale systems, with a particular emphasis on Articles 1, 2 and 2A of the Uniform Commercial Code (U.C.C.). A problem-based approach is used to pick up where the Contracts course generally ends. Considerable emphasis is placed on reading and understanding statutory and code-based law.
